1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of Citycal, including our website, event listings, profiles, submission tools, and related services (collectively, the "Service"). The Service is provided by Citycal LLC ("Citycal", "we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
We may update these Terms from time to time. When we make material changes, we will update the date above and may provide additional notice where appropriate. Your continued use of the Service after changes become effective means you accept the updated Terms.
2. What Citycal Does
Citycal helps people discover, bookmark, follow, submit, and share events. Event information may come from users, venues, organizers, administrators, public websites, third-party event sources, or automated scraping and extraction tools.
Unless we clearly say otherwise, Citycal is not the organizer, promoter, ticket seller, venue, or host of events listed on the Service. Event details can change or be inaccurate. Always confirm important details, including date, time, location, price, age restrictions, cancellation status, accessibility, and entry requirements, with the venue, organizer, or official ticketing source before attending or making travel plans.
3. Accounts and Eligibility
You may need an account to submit events, bookmark events, follow users or venues, comment, request cities, or use other interactive features. You agree to provide accurate account information and keep it current.
You are responsible for your account and for keeping your login credentials secure. If you believe your account has been accessed without permission, contact us promptly at support@citycal.com.
The Service is intended for a general audience and is not directed to children under 13. You may not create an account if you are under 13. If you use the Service on behalf of a venue, organizer, company, or other organization, you represent that you have authority to do so.
4. User, Venue, and Organizer Content
You retain ownership of content you submit to Citycal, such as event details, descriptions, images, profile information, comments, and organizer information ("User Content"). By submitting User Content, you grant Citycal a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, resize, crop, format, display, publish, index, distribute, promote, and otherwise use that content as needed to operate, improve, market, and make the Service available.
You represent that you have the rights needed to submit your User Content and that your User Content does not violate the law, infringe anyone's rights, mislead users, or violate these Terms. Do not submit private or confidential information that you do not want displayed or processed as part of the Service.
Some User Content is public by design. This may include event listings, event images, usernames, profile photos, organizer profiles, venue pages, comments, public attribution, bookmarks or "interested" signals where shown, follower information where shown, and other activity that the product displays publicly.
5. Event Submissions and Moderation
We may review, approve, reject, edit, reformat, classify, moderate, unpublish, or remove event listings, profiles, comments, images, and other content at our discretion. We may use automated systems, including AI tools, to help extract event details, classify events, identify age requirements, detect spam, assess trustworthiness, and support moderation.
Submitting an event does not guarantee that it will be published, indexed, promoted, or remain available. We may remove or limit content that appears to be spam, fraudulent, unsafe, unlawful, low quality, duplicate, misleading, infringing, outdated, or otherwise inconsistent with the Service.
6. Third-Party Websites, Tickets, and Sources
The Service may link to third-party websites, ticketing platforms, venue pages, maps, social networks, and other outside services. We do not control those third parties and are not responsible for their content, availability, prices, policies, fees, purchases, refunds, privacy practices, or security.
When you leave Citycal or buy tickets through a third-party service, your relationship is with that third party, not Citycal. You should review the third party's terms and policies before completing a transaction.
7. Prohibited Conduct
You agree not to use the Service to:
- Violate any law, regulation, contract, intellectual property right, privacy right, publicity right, or other third-party right.
- Submit false, misleading, fraudulent, impersonating, abusive, harassing, threatening, hateful, pornographic, exploitative, or otherwise objectionable content.
- Post spam, scams, malware, phishing links, deceptive ticket links, or unauthorized advertising.
- Scrape, crawl, copy, or harvest the Service in a way that burdens our systems or violates these Terms.
- Interfere with, bypass, or compromise the security, integrity, moderation, rate limits, authentication, or normal operation of the Service.
- Attempt to access accounts, data, systems, or areas of the Service that you are not authorized to access.
- Use the Service to build a competing product by copying substantial parts of the Service, except as allowed by law.
8. Citycal Intellectual Property
The Service, including the Citycal name, design, software, interfaces, databases, organization, and non-user content, is owned by Citycal or our licensors and is protected by intellectual property and other laws. These Terms do not grant you ownership of the Service or permission to use our trademarks except as needed to refer to Citycal accurately.
9. Copyright and Takedown Requests
If you believe content on Citycal infringes your copyright or other rights, contact us at support@citycal.com with enough information for us to identify the content and evaluate the request. Useful information includes the URL on Citycal, the original source or proof of ownership, your contact information, and a clear explanation of the issue.
Our designated copyright agent for receiving notices is: Citycal Copyright Agent, Citycal LLC, 16192 Coastal Highway, Lewes, Delaware, 19958, support@citycal.com. A copyright notice should include your physical or electronic signature, identification of the copyrighted work, identification of the material you believe is infringing, your contact information, a statement that you have a good-faith belief that the use is not authorized, and a statement under penalty of perjury that the information in your notice is accurate and that you are authorized to act for the copyright owner.
We may remove or restrict access to content that we believe may infringe rights or otherwise violate these Terms.
10. Privacy
Our Privacy Policy explains how we collect, use, disclose, and retain information. By using the Service, you also agree to the practices described in our Privacy Policy.
11. Service Availability and Changes
We may change, suspend, discontinue, limit, or remove parts of the Service at any time. We may also update, correct, reclassify, or remove event information. We do not guarantee that the Service will be uninterrupted, secure, error-free, accurate, complete, or available in every location.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service, remove content, or take other appropriate action if we believe you violated these Terms, created risk for Citycal or others, or used the Service in a way that is unlawful, harmful, abusive, or inconsistent with the purpose of the Service.
13. Disclaimers
THE SERVICE AND ALL CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITYCAL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT EVENT INFORMATION IS ACCURATE, COMPLETE, CURRENT, SAFE, AVAILABLE, OR SUITABLE FOR YOUR NEEDS. YOU ARE RESPONSIBLE FOR VERIFYING EVENT DETAILS WITH THE OFFICIAL SOURCE BEFORE ATTENDING OR MAKING PURCHASES.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITYCAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, EVENT CANCELLATIONS, THIRD-PARTY TRANSACTIONS, OR PERSONAL INJURY ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITYCAL'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID CITYCAL FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER.
15. Indemnification
You agree to defend, indemnify, and hold harmless Citycal and its affiliates, officers, employees, agents, service providers, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any law or third-party right.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. To the extent permitted by law, disputes arising from or related to these Terms or the Service will be brought in the state or federal courts located in Delaware, and you consent to the jurisdiction and venue of those courts.
